Corporate Structuring

Corporate structuring is a foundational decision – for a business, and often for a family. But getting it right requires more than technical execution.

There is no shortage of providers who set up corporate structures.

At one end are firms that handle incorporation as a commodity service, who rarely look at or care about the client's underlying goals. At the other are large international advisory firms. Their work is technically excellent, but it tends to follow a standard playbook: a thorough, well-reasoned opinion, built around the law and best practice as they generally apply. That is sound advice in the abstract, however it often places little value on a structure's specific history. As a result, the recommendation defaults to the conventional one: unwind what exists and rebuild anew.

How we approach it

We do things differently. We recognize that any structure was built over time, in response to real commercial decisions, and we ask why it looks the way it does before proposing changes:

  • Why did the client build redundancy into the structure?
  • How would the structure be affected if one of its entities were drawn into a dispute or regulatory inquiry?
  • How would removing an entity change the banking relationship for the whole group?
  • What elements need to remain in place for the client to continue receiving dividends in practice, without restriction?

We work exclusively on mandates where structuring is not an abstract exercise. Our clients see value in preserving their structure's history whenever doing so best achieves a specific combination of objectives – commercial, fiscal, and personal.

A structure optimized for tax alone is incomplete. What matters is what happens on succession, under scrutiny, or if a jurisdiction, bank, or service provider that once looked reliable no longer is.

No provider is beyond risk. No jurisdiction is permanent. We plan accordingly.
